Governing law & dispute resolution
This Agreement and all matters arising out of or relating to the Services are governed by, and will be construed in accordance with, the laws of the State of Colorado and the federal laws of the United States, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute, claim, or controversy arising out of or relating to this Agreement or the Services will be resolved exclusively in the state or federal courts located in Arapahoe County, Colorado, or the U.S. District Court for the District of Colorado, and each party irrevocably submits to the exclusive jurisdiction of those courts. Each party waives any objection to venue in those courts based on inconvenient forum.
To the extent permitted by law, each party waives any right to a trial by jury in any action or proceeding arising out of or relating to this Agreement.
Nothing in this Section limits a party's right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual-property or confidentiality rights.
